Cloudboat Booking System — Terms of Service

1. Introduction

Welcome to Cloudboat Booking System. These Terms of Service ("Terms") govern your access to and use of the Cloudboat platform, websites, mobile applications, and related services (collectively, the "Service"). The Service is provided by ZanteWeb It & Development P.C., a Greek Private Company registered under GEMH number 146006224000 ("Cloudboat," "we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Service.

2. Service Description

2.1 Cloudboat Platform

Cloudboat is an online Software-as-a-Service (SaaS) platform that provides booking management solutions for tour operators and boat rental agencies ("Account Holders"). The platform enables:

• Account Holders to manage availability, bookings, and customer information;
• End customers ("Customers") to make bookings through Account Holder websites;
• Integration with third-party services, including Google Calendar (operator-side only).

2.2 Multi-Domain Architecture

Our Service operates across multiple domains:

• cloudboat.gr: Marketing and information site;
• *.cloudboat.eu: Individual booking sites for Account Holders (e.g., company.cloudboat.eu);
• admin23.cloudboat.eu: Administrative control panel for Account Holders;
• auth.zanteweb.com: Authentication services including OAuth 2.0 integration with Google.

3. User Categories

3.1 Account Holders

Tour operators and boat rental agencies who subscribe to use the Cloudboat platform to manage their booking operations. Separate subscription terms may apply to Account Holders.

3.2 Customers

End users who make bookings through Account Holder websites powered by Cloudboat. These Terms primarily govern the Customer relationship with Cloudboat.

3.3 Visitors

Anyone visiting cloudboat.gr or related informational pages. By browsing our sites, you agree to these Terms.

4. Account Registration and Use

4.1 Account Creation

Some features of the Service may require you to register an account. You agree to:

• Provide accurate, current, and complete information;
• Maintain the security of your account credentials;
• Notify us immediately of any unauthorized access;
• Accept responsibility for all activities under your account.

4.2 Age Requirement

You must be at least 18 years old to use the Service. By using the Service, you represent that you meet this age requirement.

4.3 Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms or engage in fraudulent, illegal, or harmful activities.

5. Bookings and Transactions

5.1 Making Bookings

When you make a booking through the Service:

• You enter into a contract with the Account Holder (tour operator), not Cloudboat;
• You agree to the Account Holder's specific terms, conditions, and cancellation policies;
• You provide accurate booking information (dates, times, passenger details, etc.);
• You agree to pay the stated fees and charges.

5.2 Payment Processing

Payment may be processed through the Service on behalf of Account Holders. When making payments:

• You authorize the charge to your payment method;
• Payment information is processed securely by our payment processors;
• Cloudboat may retain payment information as described in our Privacy Policy.

5.3 Refunds and Cancellations

Refund and cancellation policies are determined by the Account Holder (tour operator), not Cloudboat. Please review the specific cancellation policy before making a booking.

6. Google Calendar Integration

6.1 Optional Feature (Account Holders Only)

The Google Calendar integration is an optional feature available only to Account Holders (boat captains and tour operators). It allows them to automatically synchronize their cruise schedule with their personal Google Calendar so they can manage their work schedule efficiently. End customers do not authorize Google Calendar access — this feature is operator-side only.

6.2 Authorization (by Account Holders)

By connecting their Google Calendar to Cloudboat, an Account Holder:

• Authorizes Cloudboat to access their Google Calendar via OAuth 2.0;
• Grants permission to create, read, update, and delete calendar events related to their cruise bookings;
• Acknowledges that they have read our Privacy Policy regarding calendar data (see Sections 14 and 15 of the Privacy Policy for full details).

6.3 Revocation

Account Holders may revoke calendar access at any time through their Google Account permissions. Revocation does not affect existing or future bookings — it stops only automatic calendar synchronization. Upon revocation, OAuth tokens are deleted from our database within 24 hours.

6.4 Compliance with Google Policies

Cloudboat's use of Google APIs complies with the Google API Services User Data Policy, including the Limited Use requirements. Specifically: we use Google user data only to provide and improve the Calendar Integration feature, we never sell or transfer Google user data, we never use it for advertising, and we do not allow humans to read it except in limited, justified cases (security, legal compliance, explicit user consent).

Account Holders' use of Google Calendar is also subject to Google's own Terms of Service and Privacy Policy.

7. Acceptable Use

7.1 Prohibited Activities

You agree NOT to:

• Use the Service for any unlawful purpose or in violation of any regulations;
• Attempt to gain unauthorized access to the Service or related systems;
• Interfere with or disrupt the Service or servers;
• Use automated systems (bots, scrapers) without authorization;
• Upload viruses, malware, or other malicious code;
• Impersonate others or provide false information;
• Engage in fraudulent activities or payment disputes;
• Harass, abuse, or harm other users or Account Holders;
• Reverse engineer or attempt to extract source code;
• Resell or redistribute the Service without authorization.

7.2 Content Restrictions

You agree not to submit content that is:

• Illegal, threatening, abusive, or defamatory;
• Violates intellectual property rights;
• Contains viruses or harmful code;
• Spam or unsolicited advertising.

8. Intellectual Property

8.1 Cloudboat Property

The Service, including all content, features, software, trademarks, and branding, is owned by ZanteWeb It & Development P.C. and protected by copyright, trademark, and other intellectual property laws.

8.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose. This license does not include rights to:

• Modify, copy, or distribute the Service;
• Reverse engineer or decompile the software;
• Remove proprietary notices or labels;
• Use our trademarks without permission.

8.3 User Content

You retain ownership of content you submit through the Service. However, you grant Cloudboat a worldwide, non-exclusive license to use, process, and store your content to provide the Service.

9. Privacy and Data Protection

Your use of the Service is governed by our comprehensive Privacy Policy, which describes:

• What personal data we collect;
• How we use and protect your data;
• Your rights under GDPR and applicable data protection laws;
• How we handle Google Calendar Integration data (see Sections 14 and 15 of the Privacy Policy).

10. Service Availability and Modifications

10.1 Service Availability

While we strive to provide reliable service, we do not guarantee that:

• The Service will be uninterrupted, error-free, or secure;
• Defects will be corrected immediately;
• The Service will be available at all times;
• Data transmission will be secure or error-free.

10.2 Maintenance

We may suspend the Service temporarily for maintenance, updates, or emergency repairs. We will attempt to provide advance notice when possible.

10.3 Modifications to Service

We reserve the right to modify, suspend, or discontinue any feature of the Service at any time without prior notice. We are not liable for any modification, suspension, or discontinuation.

10.4 Updates to Terms

We may update these Terms from time to time. We will notify you of material changes by:

• Posting the new Terms on this page;
• Updating the "Last Updated" date;
• Sending notice via email (for Account Holders).

Your continued use of the Service after changes constitutes acceptance of the new Terms.

11. Disclaimers and Limitations of Liability

11.1 "As Is" Service

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability;
• Fitness for a particular purpose;
• Non-infringement;
• Accuracy or reliability of results.

11.2 Third-Party Services

Cloudboat is not responsible for:

• The quality, safety, or legality of tours and services provided by Account Holders;
• The accuracy of information provided by Account Holders;
• Disputes between Customers and Account Holders;
• Third-party services, websites, or content linked from the Service;
• Actions or policies of Google regarding Calendar API access.

11.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLOUDBOAT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages;
• Loss of profits, revenue, data, or business opportunities;
• Damages resulting from your use or inability to use the Service;
• Damages resulting from Account Holder services or conduct;
• Damages from unauthorized access to your account or data.

In no event shall our total liability exceed the amount you paid to Cloudboat in the 12 months preceding the claim, or €100, whichever is greater.

11.4 Jurisdictional Limitations

Some jurisdictions do not allow limitations on implied warranties or exclusions of liability. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Cloudboat, ZanteWeb It & Development P.C., and their officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service;
• Your violation of these Terms;
• Your violation of any rights of another party;
• Your violation of applicable laws or regulations;
• Content you submit through the Service.

13. Dispute Resolution

13.1 Informal Resolution

Before filing a claim, please contact us at dpo@zanteweb.com to attempt informal resolution. We are committed to resolving disputes fairly and efficiently.

13.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Greece, without regard to its conflict of law provisions.

13.3 Jurisdiction

Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Zakynthos, Greece.

13.4 EU Dispute Resolution

If you are a consumer residing in the European Union, you may also utilize the European Commission's Online Dispute Resolution platform: https://ec.europa.eu/consumers/odr.

14. Termination

14.1 Termination by You

You may terminate your use of the Service at any time by:

• Ceasing to use the Service;
• Deleting your account (if applicable);
• Revoking third-party integrations (e.g., Google Calendar);
• Contacting us to request account closure: dpo@zanteweb.com.

14.2 Termination by Us

We may suspend or terminate your access immediately if you:

• Violate these Terms;
• Engage in fraudulent or illegal activities;
• Pose a security risk to the Service or other users;
• Fail to pay fees (for Account Holders).

14.3 Effect of Termination

Upon termination:

• Your access to the Service will cease;
• We may delete your account data in accordance with our retention policies;
• Provisions of these Terms that should survive termination (including liability limitations) remain in effect.

15. Miscellaneous

15.1 Entire Agreement

These Terms, together with our Privacy Policy and any specific agreement with Account Holders, constitute the entire agreement between you and Cloudboat regarding the Service.

15.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

15.4 Assignment

You may not assign or transfer these Terms without our written consent. We may assign these Terms without restriction.

15.5 Force Majeure

We shall not be liable for any failure to perform due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

15.6 Language

These Terms are provided in English. Translated versions may be provided for convenience, but in case of conflict, the English version shall prevail.
